Trie House Productions operates as a strategic creative collective providing digital, marketing, and consulting services.

• Statements of Work (SOW): Specific deliverables, timelines, payment terms, and project scopes will be detailed in individual Master Services Agreements (MSA), Statements of Work (SOW), or project proposals signed by both parties.
• Independent Contractor: We perform all services as an independent contractor. Nothing in these Terms creates a partnership, joint venture, employment, or agency relationship between Trie House Productions and the client.

• Company Materials: All content on this website—including text, graphics, logos, brand elements, code, and designs—is the property of Trie House Productions and is protected by applicable intellectual property laws.
• Client Deliverables: Upon full payment of all fees due under an applicable SOW, client ownership rights to final, approved deliverables will transfer to the client as specified in the individual client contract. Trie House Productions retains ownership of all preliminary concepts, unchosen design drafts, proprietary tools, and underlying methodologies developed prior to or outside of the engagement.
• Portfolio Rights: Unless explicitly agreed upon in writing via a Non-Disclosure Agreement (NDA) or contract clause, Trie House Productions retains the right to display completed client work and project outcomes in our portfolio, website, and promotional materials.

• Timely Assets: Clients must provide all necessary information, brand assets, access credentials, and approvals required for us to perform the services in a timely manner. Delays in client feedback may impact project timelines and delivery dates.
• Content Accuracy & Legal Compliance: Clients warrant that all text, images, trademarks, and materials provided to Trie House Productions for use in projects are legally owned or appropriately licensed by the client. The client assumes full responsibility for ensuring their content complies with applicable laws and regulations.

• Payment Terms: Payment schedules and terms are outlined in each specific SOW or invoice. Invoices are due upon the timeframe stated on the invoice (typically Net 15 or Net 30).
• Late Payments: Late payments may accrue interest at a rate of 1.5% per month (or the maximum allowed by law). We reserve the right to pause active work or withhold final deliverables if accounts remain past due.
• Expenses: Clients are responsible for third-party costs incurred on their behalf (e.g., software licenses, stock media, hosting fees, advertising spend) when pre-approved in writing.

Both parties agree to protect and keep confidential any non-public, proprietary information shared during the course of business. Confidential information shall not be disclosed to any third party without prior written consent, except as required by law.

Our website and marketing services are provided on an "as-is" and "as-available" basis. While we leverage senior expertise and modern technology to deliver strategic, high-quality work:

• We do not guarantee specific monetary returns, search engine rankings, or business conversion metrics unless explicitly guaranteed in a written agreement.
• We make no warranties, express or implied, regarding the continuous, error-free operation of our website or third-party platforms integrated into client solutions.

To the maximum extent permitted by law, Trie House Productions, its founder, officers, contractors, and employees shall not be liable for any indirect, incidental, consequential, special, or punitive damages (including loss of profits, data, or business opportunity) arising out of or related to our services or website.

In any event, Trie House Productions' aggregate total liability under these Terms or any service agreement shall not exceed the total amount paid by the client to Trie House Productions for the specific project giving rise to the claim during the six (6) months preceding the incident.

Either party may terminate a project or engagement in accordance with the termination provisions set forth in the governing SOW or MSA. In the event of termination, the client agrees to pay for all work completed and expenses incurred up to the effective date of termination.

These Terms shall be governed by and construed in accordance with the laws of the state in which Trie House Productions is legally registered, without regard to its conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located within that jurisdiction.

We reserve the right to update or modify these Terms at any time without prior notice. Changes will take effect immediately upon posting to this page. Your continued use of our website or services after any modifications indicates your acceptance of the revised Terms.
